TERMS OF SERVICE

These Terms of Service ("Terms," "Agreement") constitute a legally binding agreement between you ("Customer," "you," "your") and Khao2, trading as Khao2 and K2 ("Khao2," "Company," "we," "our," "us"), a company governed under the laws of Ireland.

BY ACCESSING OR USING THE KHAO2 SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, YOU MAY NOT ACCESS OR USE THE SERVICES.

1. DEFINITIONS

  • "Services" means the image forensic analysis tools, software, APIs, command-line interfaces (CLI), web-based user interfaces, computational resources, and related services provided by Khao2.
  • "Documentation" means all technical documentation, user guides, API references, and other materials provided by Khao2.
  • "Customer Data" means any data, information, images, files, or other materials submitted by Customer to the Services.
  • "Output" means any results, reports, analyses, metadata, or other information generated by the Services.
  • "Intellectual Property Rights" means all patents, copyrights, trademarks, trade secrets, and other proprietary rights.
  • "High-Performance Computing Resources" means the computational infrastructure utilized by Khao2 to deliver the Services.

2. SCOPE OF SERVICES

Khao2 provides artificial intelligence-powered image forensic analysis tools accessible through CLI, API, and web-based interfaces. The Services are designed to analyze digital images for authenticity, manipulation, metadata extraction, and other forensic purposes.

The Services are intended for legitimate forensic investigation, legal proceedings, corporate compliance, academic research, journalism, and other lawful purposes.

Khao2 designs its forensic reports to meet evidentiary standards for admissibility in legal proceedings. However, Khao2 makes no guarantee that any specific Output will be admitted as evidence in any particular jurisdiction.

3. ACCOUNT REGISTRATION AND SECURITY

To access the Services, Customer must create an account with accurate, complete, and current registration information. Customer must be at least 18 years of age.

Customer is responsible for maintaining the confidentiality of account credentials and for all activities under Customer's account.

Khao2 reserves the right to suspend or terminate Customer's account immediately if Customer violates these Terms.

4. PROHIBITED USES AND RESTRICTIONS

Intelligence Agency Prohibition: The Services are not available to any governmental intelligence, security, or law enforcement agency.

Customer shall not:

  • Use the Services for any unlawful purpose
  • Reverse engineer, decompile, or disassemble the Services
  • Use automated means to circumvent usage limitations
  • Attempt unauthorized access to any portion of the Services
  • Interfere with or disrupt the Services
  • Process images depicting child sexual abuse material
  • Benchmark the Services without prior written consent
  • Use the Services to develop competing AI models

Model Training Prohibition: Customer Data and Output shall not be used to train any machine learning model or AI system.

5. CUSTOMER DATA AND PRIVACY

Customer retains all ownership rights in Customer Data. Customer grants Khao2 a limited license to process Customer Data solely to provide the Services.

Khao2 processes Customer Data in accordance with its Privacy Policy and applicable data protection laws including GDPR.

Khao2 implements industry-standard security measures but cannot guarantee absolute security.

6. INTELLECTUAL PROPERTY RIGHTS

The Services, including all software, algorithms, models, and methodologies, are owned by Khao2 or its licensors.

Subject to compliance with these Terms, Khao2 grants Customer a non-exclusive, non-transferable license to use Output for Customer's internal business purposes.

7. FEES AND PAYMENT

Customer agrees to pay all fees as set forth in the applicable pricing schedule. All fees are non-refundable except as expressly provided.

Fees do not include applicable taxes. Customer is responsible for all such amounts.

Khao2 reserves the right to modify pricing upon thirty (30) days' notice.

8. REPRESENTATIONS AND WARRANTIES

Customer represents and warrants that:

  • Customer has the legal right to submit Customer Data
  • Customer Data does not infringe third-party rights
  • Customer's use complies with all applicable laws
  • Customer is not subject to trade embargoes or sanctions
  • Customer is not a governmental intelligence or law enforcement agency

DISCLAIMER: THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. KHAO2 DISCLAIMS ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KHAO2 SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

KHAO2'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY CUSTOMER DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT.

10. INDEMNIFICATION

Customer agrees to indemnify and hold harmless Khao2 from claims arising from Customer's use of the Services in violation of these Terms, Customer Data, or Customer's violation of any law or third-party rights.

11. TERM AND TERMINATION

These Terms commence when Customer first accesses the Services and continue until terminated.

Customer may terminate at any time by ceasing to use the Services. Khao2 may terminate for convenience upon thirty (30) days' notice.

Khao2 may immediately suspend or terminate access if Customer violates Section 4 or poses a security risk.

12. CONFIDENTIALITY

Each party shall maintain the confidentiality of the other party's Confidential Information using at least the same degree of care it uses for its own confidential information.

13. GENERAL PROVISIONS

Governing Law: These Terms shall be governed by the laws of Ireland. Any dispute shall be subject to the exclusive jurisdiction of the courts of Ireland.

Entire Agreement: These Terms constitute the entire agreement between the parties.

Amendments: Khao2 may amend these Terms by posting updated Terms and notifying Customer.

Severability: If any provision is held invalid, the remaining provisions continue in full force.

Assignment: Customer may not assign these Terms without Khao2's prior written consent.

Force Majeure: Neither party shall be liable for failure due to causes beyond reasonable control.
